Terms of Service

1. Accepting these Terms

By creating an account, buying credits, unlocking a clip or submitting a custom-shoot request, you agree to these Terms and the linked Content License, Privacy Policy and Refund Policy. You must be at least 18 and able to enter a binding agreement for yourself or the organization you represent.

2. Accounts and access

You are responsible for accurate account information and for activity under your account. Do not share access, automate bulk extraction, bypass download limits or make the library available to another person as a substitute for their own account. We may ask for information needed to protect the service, verify payment or comply with law.

3. Credits and clip unlocks

One clean B-roll clip currently costs one credit unless the interface states otherwise. Free credits, paid credits and promotional credits may have different expiration rules. Paid Pro and Top-up credits do not expire under the current offer. First-purchase bonus credits expire 31 days after they are issued. Already unlocked clips can be downloaded again without another credit.

Credit pricing, pack sizes and promotions are displayed before purchase. We may change future prices or offers, but will not retroactively reduce paid credits already in your account.

4. Payments

Payments are one-time unless a checkout page explicitly says otherwise. Card payments are processed by Stripe; UGC Ninja does not receive or store full card numbers. Taxes, if applicable, may be added at checkout. Payment reversals, chargebacks and refunds may reduce the unused credits connected to that payment.

5. Content rights

Browsing a preview does not grant a right to use it. Unlocking a clean original grants only the rights described in the Content License. Creators and UGC Ninja retain ownership of the source footage and all rights not expressly granted.

6. Custom creator shoots

A custom-shoot request is an inquiry, not an automatic order. Scope, creator availability, price, delivery date, revisions and any special usage rights must be confirmed in the request thread or a separate order. The current reference offer is 10 B-roll clips for $90, but the final quote shown in the request controls.

7. Prohibited conduct

• Do not resell, sublicense or redistribute raw clips or clean originals as a footage library.
• Do not remove a preview watermark or use a watermarked preview in published content.
• Do not imply that a creator personally used, reviewed or endorsed a product when they did not.
• Do not use the service for illegal, deceptive, defamatory, discriminatory, adult or harmful content.
• Do not scrape, probe, overload, reverse engineer or interfere with the service or another account.

8. Availability and changes

We may add, remove or replace clips, creators and features. We aim to keep unlocked clips available, but a rights dispute, legal request, security issue or creator claim may require removal. The service may occasionally be unavailable for maintenance or reasons outside our control.

9. Suspension and termination

We may suspend or terminate access for fraud, chargebacks, security risk, unlawful use or a material breach of these Terms. You may stop using the service at any time and may request account deletion. Terms that by their nature should survive, including payment obligations, ownership, licenses already granted and liability limitations, continue to apply.

10. Disclaimers and liability

The service is provided “as is” and “as available.” To the fullest extent permitted by law, UGC Ninja disclaims implied warranties and is not liable for indirect, incidental, special, consequential or lost-profit damages. Our aggregate liability arising from the service will not exceed the amount you paid UGC Ninja in the 12 months before the event giving rise to the claim. These limits do not apply where the law does not allow them.

11. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Mandatory consumer protections in your country or state remain unaffected.
